3M Co. & Arizant Inc.
To expand its infection prevention offerings, 3M Co. is paying $810mm in cash to acquire Arizant Inc., which develops surgical patient warming systems.
Amedica Corp. & US Spine Inc.
Amedica Corp. (develops spinal and orthopedic implants using silicon nitride (SiN) ceramic technologies) is acquiring closely held spinal implant developer US Spine Inc. for an undisclosed amount.
Asthmatx Inc. & Boston Scientific Corp.
Boston Scientific Corp. has agreed to buy closely held Asthmatx Inc. (asthma device) for $193.5mm in cash up front and up to $250mm in revenue-based earn-outs through 2019.
Fresenius Medical Care AG (a division of Fresenius SE) & Gambro AB
Gambro AB (kidney devices) has sold its global peritoneal dialysis (PD) business to Fresenius Medical Care AG (products and treatments for chronic kidney disease).
Genzyme Genetics (a division of Genzyme Corp.) & Laboratory Corp. of America Holdings
Laboratory Corp. of America Holdings is acquiring esoteric testing specialist Genzyme Genetics for $925mm in cash. The company offers services spanning maternal serum screening, prenatal and postnatal diagnostics, carrier screening, and clinical trials central lab testing.
Singapore Volition Pte. Ltd. & ValiBIO SA (a division of ValiRx PLC)
ValiRx PLC has divested its ValiBIO SA diagnostics division to fellow cancer test developer Singapore Volition Pte. Ltd. for $1mm, of which $400k will be paid in cash (in four equal installments) and the remainder in Volition shares.
